IT maintenance agreement
Definition : IT maintenance agreement
The intellectual property stakes
In intellectual property terms, this contract raises several questions under French and European law.
First, it may settle the ownership of the software and data. It must therefore specify who owns them and how each party may use them. It also provides for the fate of the rights on termination.
Second, maintenance often gives the provider access to the company’s software and data. It must then be ensured that the provider respects the company’s rights, notably copyright and trade marks.
Third, the provider sometimes develops software or designs systems. The contract must then settle the ownership of the work carried out, specifying who will own it and how it may be used.
Finally, to understand and correct errors, the provider may resort to decompilation tools. That practice raises questions of respect for rights, especially if the provider accesses and modifies the source code.
In short, the maintenance contract must address the ownership of the software and data, access to those elements, the ownership of the work carried out and the use of decompilation tools. Clear and precise clauses are therefore essential.
The role of the attorney
The attorney plays an important role in the drafting, negotiation and follow-up of these contracts.
First, the attorney helps the company understand the stakes of the contract, explaining the scope of the intellectual property, liability, warranty and termination clauses.
Second, the attorney negotiates more favourable terms, proposing amendments or additions that protect the company and reduce its risks.
During the performance of the contract, the attorney assists the company in its relations with the provider. In the event of a dispute, the attorney helps resolve the disagreement and enforce the contract.
Finally, the attorney ensures the company’s compliance with the applicable laws and regulations.
