TheConfidentiality agreement<\/strong> (\u00e9galement appel\u00e9 accord de non-divulgation) est un contrat par lequel une ou plusieurs parties s\u2019engagent \u00e0 ne pas divulguer une ou plusieurs informations transmises par une ou plusieurs d\u2019entre elles.\u00a0Dans la pratique, cet accord est souvent d\u00e9sign\u00e9 par l\u2019acronyme anglais \u00ab\u00a0NDA<\/strong>\u00a0\u00bb (acronyme \u00ab\u00a0non-Disclosure Agreement<\/strong><\/a>\u00a0\u00bb, en fran\u00e7ais \u00ab\u00a0accord de non-divulgation\u00a0\u00bb) vise la protection du secret des affaires<\/strong>, ce qui inclut notamment le know-how<\/a><\/strong>. Voici les principaux \u00e9l\u00e9ments qui devraient \u00eatre inclus dans un accord de confidentialit\u00e9 :<\/p>\n

  2. Definition of confidential information<\/strong>. It is important to clearly specify what information is considered confidential and needs to be protected by the agreement.<\/li>\n
  3. Duration of the agreement<\/strong>. The agreement must specify the length of time during which the parties are to maintain the confidentiality of the information.<\/li>\n
  4. Confidentiality obligations<\/strong>. The agreement must set out the obligations of the parties with regard to the protection of confidential information, including the security measures they must implement.<\/li>\n
  5. Exceptions<\/strong>. the agreement may include exceptions that allow a party to disclose confidential information in certain situations, such as legal obligation or the need to uphold its legal rights.<\/li>\n
  6. Consequences of breaching the agreement<\/strong>. The agreement must specify the consequences of breach of the confidentiality agreement, such as damages or injunctions.<\/li>\n
  7. Governing law and jurisdiction<\/strong>. The agreement must specify the applicable law and the jurisdiction where disputes will be resolved in the event of a breach of the agreement.<\/li>\n<\/ol>\n
